Special Restrictions:
1. Customer Discount. To each New Betterment Customer Referred by Partner during the Term of the Agreement to whom the one-time implementation fee (including any conversion fees) is charged, Betterment will discount its one-time implementation fee by: a. $250.00, if such New Betterment Customer has Plan assets between $0 (new plan) and $99,999.99; or b. $500.00, if such New Betterment Customer has Plan assets greater than or equal to $100,000.00 (the “Customer Discount”). 2. Discount Period. The Parties acknowledge and agree that Betterment will have no obligation to offer any Customer Discounts to (i) any Betterment Customers that pre-exist the Effective Date, or (ii) any individual or entity that becomes a New Betterment Customer after the termination or expiration of this Agreement, even if they later become a client or investor in a pooled investment vehicle managed by the Betterment. Betterment at Work services are offered by Betterment for Business LLC, Betterment LLC, and Betterment Securities (collectively, “Betterment”). No investor in Betterment is directing any company to use Betterment at Work services in connection with this offer. Company understands and agrees that any decision to use Betterment at Work services is independent and arms-length. Betterment is not under common ownership or otherwise affiliated with any other entities.
